This Client Agreement (“Agreement”) is made between Cubesly Inc., doing business as Aligner Hub (“Aligner Hub,” “we,” “us,” or “our”), and the user (“Client” or “you”). By using our platform, you agree to the terms of this Agreement.

1. Purpose of the Platform

Aligner Hub provides a marketplace platform that connects Clients with Service Providers who offer digital treatment planning and physical aligner manufacturing services. Aligner Hub itself does not provide these services yet.

2. Platform Usage

  • Account and Information: You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account. You must provide accurate and complete information when creating an account.
  • Service Provider Communication: You agree to communicate with Service Providers only through the Aligner Hub platform. Direct communication with Service Providers outside the platform is prohibited and may result in the termination of your account.

3. Dispute Resolution and Revisions and Rework

  • Treatment Setup Revisions: Clients are entitled to request up to 5 revisions or reworks of the digital treatment setup provided by the Service Provider at no additional cost. The Service Provider will carry out these revisions in good faith. However, if the Client’s requests involve radical changes from the original requirements, additional charges may apply. Once the Client accepts the treatment setup, it is deemed successfully delivered, and no further complaints will be entertained.
  • Aligner Manufacturing and Delivery: Upon placing an order for aligners, Aligner Hub and the Service Provider commit to using best practices and high-quality materials to produce the aligners. The Service Provider will use specified aligner sheets and quality control measures to the best of their abilities. Upon delivery of the aligners to the Client in the USA (or other destination), the Client will act as the importer of the product and may need to engage with customs for duties, clearance, etc.
  • Customs and Import Duties: Clients are responsible for handling any customs and import duties associated with receiving products from Service Providers. Aligner Hub does not manage or cover any costs related to customs clearance.
  • Damaged Products: If the Client receives damaged aligners, they must provide evidence of the damage to Aligner Hub. Upon verification, we will facilitate a refund by recovering the cost from the manufacturer. However, Aligner Hub is not responsible for the condition of the products once they leave the manufacturer’s facility.

4. Limitation of Liability

  • No Warranties: Aligner Hub provides the platform “as is” and without any warranties. We do not guarantee the accuracy, reliability, or quality of any services or products provided through the platform.
  • Liability: Aligner Hub is not liable for any damages, losses, or issues arising from the use of the platform, the services provided by Service Providers, or the delivery of products. This includes, but is not limited to, issues related to service quality, product defects, delays, and customs matters.

5. Indemnification

You agree to indemnify and hold harmless Aligner Hub, Cubesly Inc., and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or related to your use of the platform, your interactions with Service Providers, and your breach of this Agreement.

6. Termination

Aligner Hub reserves the right to terminate your account and access to the platform at any time, for any reason, including violation of this Agreement.

7. Changes to Agreement

Aligner Hub may modify this Agreement at any time. Any changes will be effective upon posting the updated Agreement on the platform. Your continued use of the platform after the changes are posted constitutes your acceptance of the revised Agreement.

8. Dispute Resolution

  • Between Client and Service Provider: Any disputes arising from services or products must be resolved directly between the Client and the Service Provider. Aligner Hub may assist in facilitating communication but is not responsible for resolving disputes.
  • Governing Law: This Agreement is governed by the laws of Ontario, Canada. Any disputes related to this Agreement or the use of the platform will be resolved through binding arbitration in Ontario, Canada.
